Terms and conditions
This is a translation. If the English and Dutch versions differ, the Dutch version applies.
These terms apply to every quote, assignment and agreement between Fidel Agency and the client. We deliberately keep them short and clear. If we deviate from them anywhere, we record that in writing.
1. Definitions
Fidel Agency: the service provider, established in Katwoude and registered in the commercial register of the Dutch Chamber of Commerce (KvK) under number 42179655. Client: the party that enters into an agreement with Fidel Agency. Services: web, automations, content and AI agents, in any combination.
2. Applicability
These terms apply to all offers and agreements of Fidel Agency. We expressly reject any general terms and conditions of the client, unless agreed otherwise in writing.
3. Quotes and formation of the agreement
Quotes are without obligation and valid for 30 days, unless stated otherwise. An agreement is formed as soon as the client approves the quote in writing (including by email).
4. Performance of the services
Fidel Agency carries out the assignment to the best of its knowledge and skill, on the basis of a best-efforts obligation. Stated time frames are indicative and never strict deadlines, unless expressly agreed otherwise in writing.
5. Cooperation of the client
The client supplies all information, texts, images and access needed for the work in good time. A delay in supplying these may postpone delivery; any resulting costs are borne by the client.
6. Prices and payment
All prices are in euros and exclusive of VAT. For one-off projects the client pays 50 per cent up front and 50 per cent on delivery, unless the quote says otherwise; monthly services are invoiced monthly in advance. An invoice is paid within 14 days of the invoice date. If payment is late, Fidel Agency may suspend the work.
7. Changes and additional work
Additional wishes outside the agreed scope count as additional work and are agreed in advance and invoiced separately.
8. Delivery and revisions
For projects, the revision rounds stated in the quote apply. After delivery the result is deemed approved if the client does not respond in writing within 14 days.
9. Intellectual property
After full payment the client obtains the right to use the delivered work for the agreed purpose. Components licensed by third parties (such as fonts or software) fall under their own licence. Fidel Agency may use the work in its portfolio, unless agreed otherwise.
10. Liability
The liability of Fidel Agency is limited to the invoice amount of the assignment concerned (for monthly services: the amount over the last three months). Fidel Agency is not liable for indirect damage, such as loss of profit or loss of data.
11. Force majeure
In the event of force majeure the obligations are suspended. If the force majeure lasts longer than 60 days, both parties may terminate the agreement in writing, without any obligation to pay compensation.
12. Term and termination
Monthly services are entered into for an indefinite period and can be cancelled monthly, with effect from the end of a calendar month. One-off projects end after delivery and payment.
13. Confidentiality
Both parties treat each other's confidential information with care and use it only for the performance of the agreement.
14. Governing law
All agreements are governed by Dutch law. Disputes are submitted to the competent court in the district of Amsterdam.
